GENERAL SALES CONDITIONS
The accepted pricelist, EX Works, in EURO’s, duly signed and returned, is the reference for the products description packaging and prices (not the catalogues nor technical data sheets). CID LINES keeps the rights to change them, provided the customer is informed before delivery. The General Terms of sales are applicable if no other stipulations have been agreed between parties in writing, either in a contract or by separate correspondence. An order is only definite after it’s written confirmation, accepted by the buyer.
Transfer of risk and property
The risk shall pass according to the applied ICC Incoterm. The property shall pass only after CID LINES has received the full payment. The purchaser can not further transfer the property until the goods have been paid for and the money has been received by CID LINES. As long as the payment has not been received, CID LINES has the right to bring the goods back (“Retention Of Title”). Meanwhile, the buyer should store them separately.
Delivery times are only indicative and never binding. CID LINES cannot be hold responsible for any delay in delivery.
CID LINES’ products are checked according to an internal quality control procedure, incorporated in CID LINES ISO 9001 certification. CID LINES keeps a retained sample of every batch throughout the shelf life. Should a product be defective within it’s shelf life period (before the expiration date), then the customer is entitled to have the product replaced by CID LINES and should arrange for the disposal of the defective product himself, provided the defection is not caused by the customer or end user (bad storage or bad transport conditions or bad application).
Should the package be defective when leaving the factory, CID LINES is responsible. In all other cases, the party having caused the defection will be hold responsible.
The purchaser agrees before import with the label content and wording. Any costs occurring from changing the label will be born by the purchaser.
CID LINES can never be hold responsible for any injuries, damages, loss of profit or property caused by the product application. It is assumed that every end user receives a copy of the MATERIAL SAFETY DATA SHEET for every product. Hence, the end user (and the distributor) should treat the product accordingly, with the necessary safety measures.
Any complaints about deliveries should be notified to CID LINES WITHIN 7 days of reception at the buyer’s premises.
CID LINES can not be hold responsible for “force majeure” (anything beyond the seller’s control).
Industrial and intellectual property rights
The purchaser recognises the holding of CID LINES of such rights as true and valid. The purchaser shall immediately inform CID LINES of any information coming to his or her notice that might be in conflict with these rights.
Applicable law and court
The Belgian law is applicable and the Belgian court (arrondissement Ieper) is competent in case of any legal disputes. Nevertheless, CID LINES keeps the right to bring any dispute before any other court that has competence according to the applicable rules of procedures.
Invoices are due at reception, unless otherwise specified in writing. In case of late payment, an interest of 1 % per month shall be charged without any notification or proof of default. All expenses incurred for cashing the payment shall be born by the purchaser. In case of non payment, the purchaser shall bear , other then the cashing and juridical expenses, an extra 15 % of the sum due as a compensation for CID LINES. In case of non payment, insolvency , bankruptcy, etc. CID LINES has the right to take the goods back from the warehouse of the purchaser (Retention Of Title).
